Roles and Responsibilities

  • SEBI & Regulatory Compliance
  • Own end-to-end SEBI/AIF compliance across the fund and investment entities.
  • Ensure timely SEBI filings, regulatory reporting, disclosures and compliance with applicable circulars/guidelines.
  • Monitor compliance with FEMA, PMLA/AML, KYC, Companies Act and other applicable regulations.
  • Review investment structures, transactions, related-party transactions and exits from a regulatory/compliance perspective.
  • Develop and maintain compliance policies, SOPs, checklists and internal controls.
  • Track regulatory changes and advise the fund/investment team on their implications.
  • Coordinate with SEBI, legal counsel, auditors, fund administrators and other external advisors.
  • Fund Finance & Accounting
  • Oversee fund accounting, financial reporting, NAV/capital account statements and management reporting.
  • Manage fund-level accounting for capital calls, distributions, management fees, carried interest and investment transactions.
  • Coordinate with fund administrators and auditors for quarterly/annual financial statements and audits.
  • Oversee fund tax compliance, TDS, GST, income tax filings and tax reporting in coordination with advisors.
  • Monitor fund cash flows, expenses, commitments and investment-level financial data.
  • Prepare MIS and financial dashboards for the investment team, management and investors.
  • Investor & Stakeholder Management
  • Oversee investor reporting, capital call/distribution notices and periodic financial/compliance updates.
  • Respond to investor queries relating to fund financials, reporting and compliance.
  • Work closely with the CFO/Partner/Investment Team on transaction execution, fund structuring and financial matters.

Skills and qualifications

  • CA / CS / CMA / MBA Finance with 8–15 years of relevant experience.
  • Holds the NISM Series-III-C (Securities Intermediaries Compliance - Fund) certification (Mandatory)
  • Strong experience across SEBI AIF compliance + fund finance/accounting, preferably within a PE/VC fund, AIF, fund administrator or Big 4.
  • Good understanding of fund structures, investment accounting, FEMA, SEBI regulations, taxation and investor reporting.
  • Should be hands-on, detail-oriented and comfortable working with senior investment professionals and external stakeholders.
  • Experience managing multiple funds/SPVs and complex investment structures would be an advantage.
