About the Company
Our client is a high growth, listed company in the specialty pharmaceutical CDMO space.
Roles and Responsibilities
- Advise the Board on corporate governance and regulatory matters, ensuring best practices and statutory compliance.
- Manage board and committee meetings, including agendas, materials, minutes, and official records.
- Oversee timely statutory filings, annual reports, disclosures, and compliance with corporate/securities laws.
- Build relationships with regulators, represent the company in audits/inspections, and implement compliance monitoring.
- Provide legal/compliance advice to Board, CEO, and management on contracts, M&A, and transactions.
- Coordinate with external counsel to manage legal matters and costs effectively.
- Develop/update governance policies, assess risks, and conduct training on compliance requirements.
- Lead and mentor the company secretary/compliance team, fostering ethical culture and professional growth.
Skills and qualifications
- Education: LL.B required; LL.M or MBA preferred; Company Secretary (CS) certification essential.
- Experience: 12-15 years in corporate governance, legal, or company secretary roles; 5+ years in leadership; public company or regulated industry experience advantageous.
- In-depth knowledge of corporate law, governance, and regulations.
- Strong analytical, problem-solving, and decision-making skills.
- Excellent communication and interpersonal abilities for Board presentations.
- Strategic, proactive mindset with high ethical standards.
- Leadership and team-building to develop high-performing teams.
- Knowledge of sustainability and CSR preferred.
